OFFSHORE COMPANY MANAGEMENT

The company may be operated and managed from anywhere in the world. There is no requirement to file any corporate, audit or tax reports, or accounts of any kind with the Government authorities. The books of the corporation may be kept in any part of the world. The annual meetings of company shareholders and directors may be held anywhere in the world.

A corporate bank account or accounts may be opened and maintained in any country.

REGISTERED OFFICE

A Registered Office is required by law in the country of incorporation. This office is provided by Maritime International Limited and all statutory filings and other Governmental matters are handled by us. There is no paperwork that you need to do.

DIRECTORS, OFFICERS AND SHAREHOLDERS

A person of any nationality may be a Director, Shareholder or Officer of an offshore company, and may reside anywhere in the world. Only one Director is required in most jurisdictions. In the Bahamas, two Directors are required, and three are required in Panama. The Director may also be the President and Corporate Secretary and fill any office desired. The Director may be a person or another corporation; and the Director and Officers need not be shareholders. The annual meeting of Directors and Shareholders may be held anywhere in the world.

FORMATION WITH NOMINEE DIRECTOR(S)

You may name a Director of your choice or you may wish to appoint a professional "nominee" or "third party" Director, while still maintaining control of the company. The "nominee" or "third party" Director is usually a company specifically set up by us for this purpose. Maritime International Limited will arrange this for you at no extra cost. The advantages of using a "nominee" or "third party" Director are as follows:

In some jurisdictions, the name and address of the Director appears in the Government's public register of companies. For privacy reasons, many individuals prefer to remain anonymous.
Even where the name of the Director does not appear in the public record, the name of the Director will appear on documents in the Registered Office and elsewhere, compromising your privacy.
Some countries have provisions within their tax legislation that a company is fully taxable if the Director of the company resides within that country, (regardless of where the company is incorporated). It is therefore important to have a "nominee" or "third party" Director in a tax free jurisdiction.
If you have a Nominee Director, you will be issued a Power of Attorney to direct the Nominee and manage all affairs of the company. The Nominee Director will issue you a signed but undated letter of resignation, so you can remove the Nominee at any time you wish.
There is no extra charge for a "nominee" or "third party" Director for your company with Maritime International Limited.

The shares of the company may be held in registered or bearer form, with or without par value. If shares are held in bearer form, there is no requirement for disclosure of the beneficial owner when incorporating. Note that bearer shares are not permitted in some jurisdictions.

CAPITAL

There is no requirement to have paid-in capital. In most jurisdictions the amount of capital is unlimited. Note that in some jurisdictions, additional Government fees are charged for highly capitalized companies. Maritime International Limited will advise you if your capital requirements exceed the jurisdictions' minimum Government fee.

REDOMICILATION

Most offshore jurisdictions permit redomicilation. As an example, a company incorporated in BVI may be moved to St. Vincent, or a company incorporated in Antigua may be moved to the Seychelles, etc.
